License Manager w/ 2006

I posted a question about 2 weeks ago concerning this and I had some
additional question. We're using Autocad 2004 w/ a License server and are
upgrading to 2006. I'm quite sure that the 2006 CD has a later version of
FlexLM than we're using for 2004. If the FlexLM installs to the same foder
as the old version, should I do this install after hours when noone is using
Autocad, or can this be done while licenses are out?

This should be done after hours or over lunch. The process actually only takes a few seconds and will still work with your older 2004 license as well. If you have borrowed licenses, just make sure you do a forced server shutdown in FlexLM first. Use your best judgment.
