I recently started having the attached dialoque box popping up whenever I am in the Find/ Replace command and "Replace ALL". Any clue how to turn it off?

Make sure a object is not selected before typing "Find" in the command prompt.
Also make sure the "Entire Drawing" is selected.

i suggest to check your Search Options in Find and Replace dialog . that dialog asks how to handle replacing text in blocks ?

Blocks selected or not, makes no difference. always have "entire drawing" selected.
Attached a screen shot of what my Find' Replace settings are.
