that is down to your VGA card not being setup in max when max installs it doesn't auto detect the VGA card, link

what doesnt work for you? max doesn't auto detect the the VGA drivers when you installed it, you would need to configure theem inside max itself.

To display a black background in a viewport

  1. Make a viewport active.
  2. Set a Visual Style, such as 3D Wireframe, and make sure that the Background property is set to On. Note: You cannot have a black background if the Visual Style is set to 2D Wireframe.
  3. On the command line, enter view
  4. In the View Manager dialog box, click New.
  5. Enter a name for the View.
  6. In AutoCAD 2008 and later versions, select Solid from the Background drop-down menu. In AutoCAD 2007 and previous versions, under Background, select the Override Default Background check box.
  7. In the Background dialog box, click the Color Palette area.
  8. In the Select Color dialog box, click the Index Color tab and select White (Index Color 7).
  9. Click OK to close each dialog box until you are back in the View Manager.
  10. In the View Manager, click Set Current.
  11. Click OK.

The background should now be black.
