do you have more then 4 GB of ram 8 is recommended, do you get a crash reporting error asking you to send it to autodesk? if you do and send it to them the form will give you a refernce number and you can paste it in here and autodesk tech will give you an answer.
i would also check your event viewer and look under windows logs and applications look for any 3ds max warning or errors when you click on open then it will give you a short description of the warning or error if you run that through google or post it in here someone can help you out
