Automatic re-shape mesh using a reference

Hi everyone!
Let's say that I have 2 different models on 3ds max, is possible to use one as reference to re-shape the other one? I mean, automatically? I tried with cloth simulator but didn't work...

It would be helpful to see the objects you're working with.  But I would suggest looking at a Compound Object called Conform.  It may be what you need.

hQHP7by4F1ozpKHi camedeck, thanks for replying me, I wanna the right-side head in the same shape of the left one. As you can see, vertex count is different.
Would be a alternative solution if I can tessellate the left-side model with predetermined vertex threshold, because I have a way to do that but both models must have the same vertex count.

If I'm understanding correctly, you want to make the face and head shape of the higher polygon version look like the lower polygon version.  If so, I'm not sure.  It seems possible, though.  Maybe someone else that has facial animation experience can lend some advice.
