Reselleing AutoCAD

I know this subject has been bandied about before, but I have yet to see a definitive answer: If one has an uopened and uninstalled copy of AutoCAD (say 2005 or 2006 US version) is there any reason why it can't be sold to another party and licensed to the new owner? It appears that one is not bound by the terms of the EULA until such time as the product is installed and activated.

The lawyers at Autodesk will most likely say that regardless of whether or not you or any other party accept the EULA, third party transfer of a license opened or not, can not be transferred.

Agreed. There is major paperwork that is involved even when a company purchases another company and aquires their license(s). Transfer of license is not as simple as exchanging money and accepting the EULA.

The license is registered and recorded and used by Autodesk and the Resellers when upgrading or fullfilling subscriptions. It is very important that this information remain accurate.

The OP notes the box was unopened, the license is not used
or assigned or registered, the software is not installed.

So, to recap, in a sealed box situation, having not
triggered any ownership by default of opening the box, or
installing or agreeing to anything from anyone on any
computer screen or piece of paper signature, are you bound
by the EULA you have not accessed or agreed to or installed
or even triggered?

Is simply the sale of AutoCAD an assumption of ownership by
Autodesk, and if it is, where exactly is that documented
outside of the sealed un-opened box, or the estore website
purchase page, or the reseller purchase order?

I would check the serial number to ensure that it has not been registered. Beyond that point, it would be up to Autodesk if they'd allow you to resell the license or if they'd honor the customers purchase of said software. I'd hate to be the customer who registers it and finds out that it is not legal, isn't upgradeable, or is an NFR or Educational copy.

How does Autodesk know who the original customer is/was?

Autodesk keeps track of all its serial numbers. I can look up one right now and tell you exactly what the product is, if it is upgradeable, registered, or under subscription.

As a consumer, before I privately buy a license from somebody, I would want to know that the license is free and clear.

No, I'm saying that if a reseller orders a seat of AutoCAD for "Joe
Blow" - and "Joe Blow" receives the package, but never opens it - then
he gives it or sells it to "Jane Doe" who installs it and registers it
with Autodesk.

What I'm asking is how would Autodesk know that the reseller didn't
order it for "Jane Doe" to start with?

I don't know how it works there, but here all of our purchases, though
nominally through our reseller, actually get paid to Autodesk.

Ok, my experience was working for a UAR - we simply placed an order with
Autodesk, then the box was shipped to us. We forwarded it on the end
user along with our software - and then the end user would register with
Autodesk.

There was no way for Autodesk to know the identity of the end user at
time of order.

Sure, we keep some product in stock for new seats. But from the standpoint of the customer, I would want to be assured that if I am purchasing a seat that it is new, unregistered, upgradeable, and not an NFR or Educational version.

Too much risk of piracy. There have been instances where people have bought AutoCAD from eBay or won it as a door prize and can't be upgraded or even registered.

If you are a VAR, check the serial number. If you know for sure it is free of registration and ownership, then fine. I'm just looking out for the end-user.
