One of the legends has been on the road visiting customers. ; )
The safe way to rename it is use the map import and create object data then
rename one of the fields on the import, then export the objects back to shp
format if you need it as shp.
A not so safe way would be to open the dbf in a database application or
Excel then rename and save. I recommend creating a back up if doing that
first.

Is there a duplicate field name in the DBF? If there is you will probably
have to rename one. Unless one of the legends post a better answer.

Yep, there is a duplicate field name in the DBF. But, how do I rename it, if
I can not open it? BTW, thanks for taking the time to read and reply to my
post.
