I have attached a dgn underlay and saved the file as a new drawing. A co-worker using autocad 2011 opens the file and is unable to see all objects in the drawing. Is there some setting in 2011? is 2012 more capable with dgn underlays?
Is it possible to send the files or perhaps sample files to check what is not showing in 2011?
I performed a quick test with aDGN file created in AutoCAD and that works, but I don't have a original DGN file to test.

If I convert this dgn, my fellow 2011 user can see all dwg objects. If he tries to overlay it, he cannot see all dwg objects. I'd attach the dgn, but the forum does not allow it....

...you can zip it, than upload the ZIP-file, that is allowed

I see that within this DGN-file there are more OTHER files referenced (GU030001.dgn, bdrpsegu.ref, cont_882.dgn, gu050003.dgn, gu_firep.dgn) ... and if the other guy did not get these files or have access to them he will not be able to see the contants of the missing files.

I have a folder with all the dgn files in it. When I open the overlay version it shows all the other dgnxrefs. When the 2011 user opens the same file he does not see the others. I can check the dgn layers (in the 2011 version) and the other xref layer names are present/turned on but do not show.
I attached the DGN in a new file in AutoCAD 2011 and 2012, saved and closed the files.I get the same result (file attached created in 2011).
Does your colleague have the option "Show Underlay" in the DGN Underlay tab of the ribbon turned off?
What happens if you create an eTransmit package from your machine and then open it in the problematic machine?
