Autocad Rendering Help

I'm fairly new to rendering in AutoCAD and need some help. I've got a 3d model created and ready to render but am having a couple problems.

1) I am using an image for a background and can't seem to figure out how to properly align the model with the background image. I can physically line them up in model space, but when I go to render, my model re-scales and moves around.

2) I've applied materials to my model, but for some reason when its rendered, I'm getting an almost transparent object. I can pretty much still see the entire background image through my object.

Could you post your dwg?  I may be able to help you.
