debugger's protocol is incompatible....

I get this when running a project from VS 2008 and program run is Civil 3D 2012:

I am not sure how to troubleshoot this, as the common answers i found involve app.config which i don't have any of.

oh, just read 2012 needs .net 4.0, i am sure that is the problem, never mind
