Missing Reference

Ok I need some help working with VB.net and AutoCAD. I am pretty much lost. I have been programming in VB.net a couple of years so I have that under control but trying to talk to AutoCAD 2006 is getting me. I have made References to the two dlls
acdbmgd
acmdg

I have a simple little program to display hello world on the AutoCAD command line and I get an exception from VB

System.IO.Filenotfound....

File or assembly acmgd, or one of it's dependencies not found.

Can someone tell me what I'm missing?
