new install of civil3d 2011 can't find license file

I can browse to the license file, but it won't read it.

The NML server is running and shows all my seats available for use.

Client computer is Win7 64 bit, Civil3d2011 64 bit.

License server is win2003 server, 32 bit

the error code is [-93.491.0]

I have added the server to the Environment var.

Anybody else had this issue?
