Networked License AC2k "Failed to initialize correctly" Crash on open

I just installed Acad 2000 on a new PIII NT4 SP6. AutoCad is networked license and is a local install. After installing and trying to run AutoCad, I receive the following error:
" Acad.exe:
The application failed to initialize properly (0xc0000005). Click OK to terminate the application."

I have installed Acad2k on other machines successfully. I have removed as many services as I can to try and clear the memory address but I receive the same message. Interestingly, if I un-install and re-install the stand alone version, it works fine.
Any one have any idea's?
