Fatal during installation

"1:5 2: Failed to create NGEN process 3:193" popped up during my upgrade installation from v2010 to 2011 on vista 32 bit platform
what is wrong?! this is very frustrating...i've tried to download the upgrade package 3 times.

Other Autodesk porducts may be conflicting with the installation.

Unintall all of them and reinstall them in correct order and the installation must get through.
