3ds max installer won't run

I downloaded the 3ds 64bit installer but every time I try to run it, it would freeze everything up. It doesn't ever run the installer.
i do have a 64bit system. I can't even run and start the installer. I have spend 2 hours trying to find out the problem.
im not using the cd, I'm trying to install the trial for 3ds max

The UAC (User Account Control) should be disabled if this is a Windows 7 or Windows Vista operating System.

Install .NET Framework 4.0 separately and then attempt the install...refer procedure below...

Any Anti-virus software should be disabled at the time of install...
Clean out the Windows temp folder:
1. In windows click Start > Run.
2. In the Run box type %temp% and click “OK”. A windows explorer window will open and display the files in your TEMP directory.
3. Select and delete as many files as possible (there may be a few still in use).
4. Close the explorer window.
