I have experienced this on multiple computers and I am stumped as to why....
I have install Product Design Suite (either Premium or Ultimate, 32bit or 64bit) on multiple computers. I set it up to install with the available service packs (off an external HDD) and fill in the required option, serial, product key etc. For some this work smoothly while on others Inventor 2012 will not shut down after I open it for the first time and then click the "close" cross at the top right. I have waited for over 10min and nothing, eventually I will "end task" on Inventor to close it.
Am I doing something wrong with these installs, is it the computers? Has anyone else had this issue? And how was it resolved?

I am having the same problem with Product Design Suite Ultimate 2012 x64.
Installation is performed from the administrative deployment with integrated service packs for all products.
Inventor 2012 will not shut down after I open it. The "end task" on Inventor to close it is the only solution.
Have you tried disabling the communication center?

The answer is that Inventor Optimization Update requires 15-20 minutes for downloads and does not allow to close the Inventor 2012 window.
