Found this in the knowledge base... and it worked!

Issue

A customization file that is not an Enterprise customization file
appears as read-only when viewed in the Customize User Interface dialog box.

Solution

This can occur if the CUI file has been saved in AutoCADĀ® 2007. CUI
files are backwards compatible as read-only files. This behaviour is as
designed.

To remove the read-only attribute, save the CUI file in AutoCAD 2006.
Follow these steps:

1. In the CUI Editor, right-click on the partial CUI file that
appears as read-only. Click Save As.
2. In the Save As dialog box, select the existing CUI file and click
Save.
3. When asked if you want to replace the existing file, click Yes.
4. Click OK to close the CUI Editor.
