Upgrading OS from 32 to 64 bit and Autocad LT2008 to LT2010

Hi all,
I work on Win XP pro 32 bit with AutoCAD LT 2008 on
I'm going to format (I want a clean and brand new installation of drivers and software) my pc and upgrade my OS from XP to Windows 7 64 bit ultimate. I want also to upgrade my LT 2008 (32bit) licence to LT2010 (64bit)

On the Autodesk upgrade center I've found this:
"Before You Upgrade: You must have a legal, installed version of the selected Autodesk product with the original serial number which has not been upgraded before."

Somewhere else into the forum I found this:
"LT since 2004 or 2005 only asks for previous serial number, nothing more,
when a newer version is installed as an upgrade."

Now the point:
If the forum is true, I need only the previous serial number and everything is alright.Then I'll install Win 7 x64, LT2010 upgrade that will ask me my LT2008 serial number and that's all!

But If the Autodesk upgrade center is true I must have my legal installed version of LT2008 before i upgrade to LT2010
The problem is that LT2008 32 bit won't install on any 64 bit OS including Win 7
After format and install of Win 7 64 bit how do I install LT2010 upgrade without the previous LT2008?

Any help or explanation (if I've missed something) is welcome.

you do not need your old version installed to install the new one.

Thank you very much Dean.
It mean that when you buy an upgrade version you buy a full version with a software block that asks you only for your previous product serial number. And what about the statement into the Autodesk upgrade center that you need a previous version installed? It refers to a particular upgrade version of the software? Maybe a "real" upgrade version with some software part missing and looking back to the older version installed?
