We've recently upgraded a large project from Civil 3D 2012 to Civil 3D 2014 and for the most part things have migrated well.
On this project as well as others that have been migrated, I've been noticing this and similar messages re: modified in a previous version when the dref's synchronize:
"FG-STREET A was modified in a previous version of the software. Changes in the current were overwritten when the data reference was synchronized."
The steps we used for converting this project in order are:
Set Data shortcuts working folder.
Migrate Survey Database.
Open/save base drawing containing survey & EG surface.
Open/save all C3d source dwgs before opening any plan sheets.
Open/save all C3d plan sheets.
Because of the warning message I thought I'd try the "Migrating Data Shortcuts" following the instructions in the Help.
Help starts out stating:
Use the stand-alone Data Shortcuts Editor to save one or more data shortcuts to a specified folder. If the shortcuts were created with a previous version of AutoCAD Civil 3D, they will be updated to the current format in this process.
When following the steps in the Data Shortcuts Editor, when I get to step 5 of the help, select the folder & choose Saveas, I see the following message that they will be saved in 2009 format?
Isn't that a downgrade? I'm kind of afraid to complete the Migration when it's stating it's going back 5 years.
Is anyone else seeing these modified in a previous version messages?
I'm still trying to figure out if they are a benign message or if they are something I should be concerned with. 95% of the shortcuts on the project sync normally & seem to work fine other than an occasional disappearing profile in the sheet profiles.

I don't quite understand how the "Round Tripping" would apply to our situation?
To summarize my descriptive post:
1. Project began in Civil 3D 2012 SP3.
2. Entire Project moved FORWARD to 2014 SP1 (and never again opened in 2012).
3. Issue of warning messages stating:
"was modified in a previous version of the software. Changes in the current were overwritten when the data reference was synchronized."
4. Attempted to use the external Data SHortcuts Editor to see if following the 2014 Civil 3D Help Topic "Migrating Data Shortcuts" directions in hopes of making the software recognize our many Data Shortcuts as the 2014 version.
5. While attempting the help instructions I get to step 5. and encounter the 2009 format warning message as seen in caption of original post.
The help describes Migrating Data Shortcuts as a means of updating existing Data Shortcuts to the CURRENT format, which I understand to mean 2014.
Am I wrong in thinking that?
This message: "{Object Name} was modified in a previous version of the software. Changes in the current were overwritten when the data reference was synchronized." basically means that in your Civil 3D 2012 these objects are being modified but your 2014 will see them as data references. Never had Civil 3D 2009 installed on this computer.
I'm 100% certain I am using the 2014 Data Shortcuts Editor from a user perspective.
(I'm at the mercy of IT for all installations as I have no Admin rights.)
Deployments and such are out of my wheelhouse, so I haven't a clue if it's even possible to
have a different version of Data Shortcuts Editor end up under 2014 products listing from an install?
I currently have the following versions on my computer:
2012 C3D
2013 C3D
2014 C3D
Worth mentioning that I also have Sincpac 3D installed. (but doubt it would have any impact on an external Adesk app.)

This just isn't making any sense to me that the Round Tripping functionality being introduced in 2014 was intended to cause these hiccups (by displaying constant saved in preivous version messages) with a One Way Trip. I'd call our situation a forward compatible scenario as we aren't attempting in any way to go back to 2012 with it.
I'm going to try recreating some of these offending Dref's which originated in 2012 from within 2014 as it's not seeming possible to truly Migrate them to 2014 as I'd hoped. Don't have a brand new machine around that only has 2014 to see if I'd get the same results.
I created a new Data Shortcut to an alignment that displays the warning:
Yosemite was modified in a previous version of the software. Changes in the current were overwritten when the data reference was synchronized.
Steps used:
Open a plan production sheet that produces warning.
Open the Alignment source dwg, (no other dwgs open).
Remove Yosemite alignment & profiles from Data Shortcuts list.
Save dwg.
Re-Create Yosemite alignment & profiles Data Shortcuts.
Open same plan production sheet and warning still present.
I just got a similar warning message when I opened my corridor saying "Profile - New was modified in a previous version of the software. Changes in the current were overwritten when the data reference was synchronized."
The problem is I only have C3D 2014 installed. I don't have any older version installed, so how can my profile be modified from a previous version of the software? On top of that, I just created the profile yesterday morning using C3D 2014, made a data shortcut of it, then imported it into a brand new drawing for my corridor. I worked on that corridor drawing for about two hours last night. This morning I open the corridor drawing and get this message.
To test this, I just created a new drawing and saved it. Then imported the alignment and profile data shortcuts. Saved and closed the drawing. Reopened the drawing and just got the warning message for the profile. The profile is in the same drawing as the alignment and both were created using a 2014 template. Why is the profile considered being modified by an older version and not the alignment? How can this even happen when the only C3D installed is 2014? More bugs from the wonderful Autodesk team.
We still get this message even after we rebuilt our 2014.dwt originally migrated 2012.dwt (which, in theory, shouldn't make any difference) due to a completly unrelated model space viewport issue.
As a result of the VP issue, I rebuilt our dwt from using the 2014 Acad.dwt and we still see the"FG-STREET A was modified in a previous version of the software. Changes in the current were overwritten when the data reference was synchronized."
Strangley there are times when I don't see the warning but more often than not if there's a drefd FG profile into a Plan/Prof sheet dwg we see this issue, even with projects created using the rebuilt from 2014 Acad.dwt.
Hasn't caused us any obvious problems but we never saw this issue here prior to moving to 2014.

Yes, our workflow for migrating existing 2012 projects was to open & save in 2014, every single source dwg in play prior to proceeding to plan sheets etc. But for most projects started in 2014 we continually see the error. Even on began in 2014 projects we've seen it.
I have a 2014 project that I can guarantee has never been opened in any other version (I do have 2012 and 2014 installed) and when the profiles are data shortcutted in I get the same message that they were "modified in a previous version". Looks to me like a bug.
I am also working on a project created entirely in a 2014 version of all objects. We also have seen this same bogus prompt involving data referenced profile.
Thanks for posting..I concur it is a bug also. Would like to know if Autodesk is aware of this.
The only thing that exists in our drawings that relate to a prior version would be styles in templates and not objects.
