AutoCAD 2007/2008/2009 DWG Format

I have a drawing (grid lines) which is xref to my all drawings.
This drawing is prompting me to reload it every time I open a drawing, every time I switch between opened drawings or aparently with no reason, hundreds of times a day. I reload it and if I close the drawing with save, when I open again, is prompting me again. I think this is happening since I added some annotation dimensions in.
Any idea?

I have had this happen when my xref was saved in an older format such as 2000 and the drawing it was referenced into was saved in a newer format such as 2007.

hum, either disable it as suggested, update your xref to latest version or delay the time between popups.
F1
and look for xrefnotify

2.both drawings are saved in 2007.
