Tool Palette Icon Image Background

When creating an image for a tool palette, I use the PNGOUT command. When I do this, the background color of the image is whatever my screen color in Model Space is set to. Is there anyway to make the image transparent, so that it takes on the background color of the tool palette?

Use a graphics program to edit the PNG file.
